Changing circumstances throughout the contract period
The fundamental principle of contract law is that contracts should be kept, ‘pacta sunt servanda’. In business, however, many situations emerge that are either not regulated or require the contract to adapt to the situation. If both parties are willing to maintain a good business relationship, it is usually possible to negotiate this. We can assist you in negotiations and draw up amending or supplementary agreements.
Interpreting a contract when the parties disagree on its content
It is not always entirely clear what is meant by the wording of a contract or contract clause afterwards. As a result, the contract may need to be interpreted retrospectively. We have experience of contract interpretation and provide legal and strategic advice on resolving identified problems.
Breach of contract
Settlement and negotiation
The counterparty may refuse to pay or demand compensation in the event of a breach of the contract. We have experience of both drafting and responding to letters ahead of claims. If the negotiation does not lead to a settlement, we will assist you in the proceedings before the court.
When a counterparty breaches the contract
If the counterparty breaches the contract, we can help by writing a letter of formal notice. In certain circumstances, it becomes untenable to allow the contract to continue. We can then negotiate a settlement or terminate the contract. In the event that the dispute continues and no settlement is reached, we will assist you in the proceedings before the court.
